Common Questions

Should I incorporate federally or provincially in Ontario?

Both create a separate legal entity with limited liability. Federal incorporation protects your corporate name across Canada and suits businesses operating in multiple provinces; Ontario incorporation is often simpler for a business operating locally. The right choice depends on where you operate, your name strategy, and your plans to grow. We walk you through it in a consultation.

Do I really need a shareholder agreement?

If your corporation has more than one shareholder, yes. A shareholder agreement settles in advance how decisions are made, how shares can be sold, what happens on death or disability, and how deadlocks are broken. It is far less costly to sign one early than to litigate its absence later.

Can you act as ongoing counsel for my business?

Yes. Many of our business clients retain us as their outside general counsel, reviewing contracts, maintaining corporate records, and advising on issues as they arise, so legal risk is managed before it becomes a dispute.

How much does it cost to incorporate a business in Ontario?

The government filing fee is approximately $300. All-in costs with a lawyer, including advice on share structure and a shareholder agreement where needed, typically range from about $1,500 to $5,000 or more depending on complexity. The larger cost is almost always worth it: fixing an unclear share structure or an absent shareholder agreement later is far more expensive than doing it properly at the start.
